Welcome to Jobstimate, a cloud-based business management platform designed to help flooring businesses, contractors, retailers, installers, and other trade-based businesses manage leads, customers, estimates, proposals, measurements, scheduling, work orders, projects, inventory, material ordering, invoicing, payments, reporting, communications, integrations, and related business operations.
These Terms of Service (the “Terms”) are a binding agreement between you and FloorsPro LLC, d/b/a Jobstimate (“Jobstimate,” “Company,” “we,” “us,” or “our”). The terms “you,” “your,” “Customer,” and “User” refer to any person, company, organization, or other entity that accesses or uses our websites, software, applications, APIs, integrations, tools, products, subscriptions, content, or services (collectively, the “Services”).
By accessing or using the Services, creating an account, signing an order form, registering for a subscription, using a free or paid feature, or otherwise interacting with Jobstimate, you agree to be bound by these Terms, our Privacy Policy, and any applicable additional terms, policies, order forms, statements of work, implementation agreements, or service-specific conditions that reference these Terms (collectively, “Additional Terms”). If you do not agree to these Terms, you may not access or use the Services.
Arbitration Notice and Class Action Waiver
Except for certain disputes described in the Arbitration Agreement section below, you agree that disputes between you and Jobstimate will be resolved by binding, individual arbitration, and you waive the right to participate in a class action lawsuit, class-wide arbitration, or other representative proceeding.
1. Changes to These Terms
We are constantly improving Jobstimate, and these Terms may need to change as our Services evolve. We may update these Terms from time to time by posting the revised Terms on our website, sending an email notice, displaying a notice in the Services, or using another reasonable method of communication.
If you do not agree with updated Terms, you must stop using the Services. Your continued use of the Services after updated Terms become effective means you accept the updated Terms. Except as described in this section, any amendment or modification of these Terms must be in writing and accepted by both you and Jobstimate.
2. Privacy
Your privacy matters to us. Our collection, use, storage, processing, and disclosure of personal information is described in our Privacy Policy. By using the Services, you acknowledge and agree that Jobstimate may collect and process information as described in the Privacy Policy.
3. Children’s Privacy
The Services are intended for business users and are not directed to children under thirteen (13) years of age. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will take reasonable steps to delete that information. If you believe a child has provided personal information to us, please contact [email protected].
4. Account Registration and Security
You may be required to create an account to use certain Services. You agree to provide accurate, current, and complete account information and to keep that information updated.
You are responsible for maintaining the confidentiality of your username, password, API keys, authentication credentials, and all other access tools. You are responsible for all activity that occurs under your account, whether authorized by you or not, unless caused solely by Jobstimate’s breach of these Terms.
You agree to notify us promptly if you believe your account, credentials, or data have been accessed or used without authorization. You may not transfer, assign, sell, share, or sublicense your account or account access without our prior written consent.
5. Authority to Accept These Terms
You represent and warrant that you are of legal age and have the authority to enter into a binding agreement. If you are using the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that company or organization to these Terms. In that case, references to “you” and “your” include that company or organization.
6. Description of the Services
Jobstimate provides software tools that may include, without limitation:
- CRM and customer management;
- Lead capture, lead tracking, pipelines, and follow-up workflows;
- Estimates, proposals, digital approvals, and e-signatures;
- Measurements, site information, room details, and project scope tools;
- Scheduling, calendars, appointments, dispatching, and task management;
- Work orders, job management, project tracking, and production workflows;
- Inventory, products, services, samples, materials, and purchasing tools;
- Supplier, vendor, B2B, catalog, and material ordering integrations;
- Invoicing, payment collection, balances, reminders, and payment tracking;
- Customer portals and communication features;
- Email, SMS, automation, and notification tools;
- Reporting, analytics, job costing, profitability, and business dashboards;
- QuickBooks, Xero, Stripe, Authorize.net, Paytrace, NMI, Google, Facebook, Zapier, OpenAI, and other third-party integrations;
- REST API access, where made available;
- AI-assisted tools, automation, summaries, recommendations, and content generation;
- QR code, showroom, pricing display, and related retail tools;
- Implementation, onboarding, training, data import, configuration, and support services.
We may add, remove, suspend, limit, or modify features at any time. Some features may be available only on certain plans, may require additional fees, or may be subject to Additional Terms.
7. Jobstimate Is a Software Platform Only
Jobstimate provides business management software and related technology tools. Jobstimate does not provide flooring installation, construction, contracting, remodeling, inspection, engineering, architecture, accounting, tax, legal, financial, or professional services to your customers.
You are solely responsible for your business operations, customer relationships, pricing decisions, contracts, estimates, project scopes, measurements, schedules, material orders, inventory decisions, payment collection, taxes, regulatory compliance, licenses, permits, job performance, workmanship, customer service, and all services you provide to your customers.
Any contract, invoice, estimate, proposal, work order, communication, or transaction between you and your customer is solely between you and that customer. Jobstimate is not a party to those transactions and is not responsible for your products, services, representations, actions, omissions, delays, disputes, or customer outcomes.
8. Customer Responsibilities
You agree that you will use the Services only for lawful business purposes and in compliance with all applicable laws, rules, regulations, industry standards, and contractual obligations. You are responsible for ensuring that all users under your account comply with these Terms.
You are responsible for obtaining and maintaining all hardware, internet access, software, licenses, permissions, consents, and third-party accounts needed to use the Services. You are also responsible for the accuracy and legality of all data, content, communications, and materials entered into or generated through your account.
9. Subscriptions, Billing, and Payment
9.1 Paid Services
Certain Services require payment. Fees, subscription terms, included features, user limits, onboarding fees, implementation fees, usage-based fees, and other charges may be described on our website, in an order form, invoice, statement of work, proposal, or other written agreement between you and Jobstimate.
9.2 Month-to-Month Subscriptions
Unless otherwise agreed in writing, Jobstimate subscriptions are provided on a month-to-month basis. We do not require annual contracts unless you separately agree to one.
9.3 Automatic Renewal
Paid subscriptions automatically renew at the end of each billing cycle unless canceled before the next renewal date. By purchasing a subscription, you authorize Jobstimate and its payment processors to charge your selected payment method for recurring fees, applicable taxes, and other agreed charges.
9.4 Payment Processors
Jobstimate may use third-party payment processors including Stripe, Authorize.net, Paytrace, NMI, and other processors we may support in the future. Payment processing is subject to the terms and policies of the applicable payment processor. Jobstimate is not responsible for payment processor errors, delays, outages, fees, declines, disputes, chargebacks, security incidents, or processing decisions.
9.5 Accurate Billing Information
You must provide current, complete, and accurate billing information. You agree to promptly update your payment method, billing address, contact information, and tax information as needed. If payment is not received when due, we may suspend, restrict, or terminate access to the Services.
9.6 Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all sales, use, value-added, withholding, and other taxes, duties, or governmental assessments associated with your use of the Services, excluding taxes based on Jobstimate’s net income.
9.7 Fee Changes
We may update pricing, fees, and payment policies from time to time. For existing subscriptions, we will provide reasonable notice of material pricing changes when required by law or when commercially reasonable. Continued use of the Services after a pricing change becomes effective constitutes acceptance of the updated pricing.
10. Cancellation
You may cancel your subscription at any time. Unless otherwise stated in a separate written agreement, cancellation becomes effective at the end of the then-current billing cycle. You will continue to have access to the Services through the end of that billing cycle, subject to these Terms.
No future subscription fees will be charged after the effective cancellation date. Previously paid subscription fees are non-refundable, except where expressly stated in these Terms or required by applicable law.
11. Onboarding, Implementation, and 30-Day Money-Back Guarantee
Jobstimate may provide onboarding, implementation, data import, training, configuration, consulting, or account setup services. The scope of onboarding services may vary by plan, package, proposal, or written agreement.
Where offered, Jobstimate’s 30-Day Onboarding Money-Back Guarantee applies only to eligible onboarding fees and is subject to conditions. To qualify, the customer must:
- Submit a written refund request within thirty (30) days of onboarding commencement;
- Attend at least four (4) scheduled onboarding, implementation, training, or account setup sessions;
- Actively participate in the onboarding process in good faith;
- Provide reasonably requested data, materials, access, information, and decisions necessary for implementation;
- Cooperate with Jobstimate’s onboarding team and give Jobstimate a reasonable opportunity to address concerns, correct setup issues, or propose alternate workflows; and
- Remain current on all required subscription and onboarding payments during the evaluation period.
Refund eligibility will be reviewed by Jobstimate in good faith based on participation, cooperation, implementation progress, and the specific facts of the request. Conditions apply. Subscription fees, third-party fees, payment processing fees, custom development fees, and other non-onboarding charges are not refundable unless expressly stated in writing or required by law.
12. Data Ownership and Customer Data License
As between you and Jobstimate, you retain ownership of data, records, files, documents, communications, images, customer information, estimates, invoices, work orders, and other content that you or your authorized users submit, upload, enter, transmit, import, or store in the Services (“Customer Data”).
You grant Jobstimate a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, back up, display, reproduce, modify for formatting, and otherwise use Customer Data solely as necessary to provide, secure, support, maintain, improve, and operate the Services, comply with law, enforce these Terms, and prevent fraud or abuse.
You represent and warrant that you have all rights, permissions, consents, and legal bases necessary to provide Customer Data to Jobstimate and to authorize Jobstimate to process Customer Data as described in these Terms and our Privacy Policy.
13. Data Retention and Export
Following cancellation or termination of your account, Jobstimate may retain Customer Data for up to sixty (60) days to facilitate account restoration, exports, billing records, compliance, dispute resolution, backups, or internal business purposes. After that period, Customer Data may be permanently deleted, overwritten, anonymized, or archived without further notice.
You are responsible for exporting or saving any Customer Data that you want to keep before cancellation or termination. We may provide export tools or assistance where available, but we do not guarantee that all data can be exported in every format or after the retention period has expired.
14. Confidentiality
Each party may receive non-public information from the other party that is identified as confidential or should reasonably be understood to be confidential based on its nature and the circumstances of disclosure (“Confidential Information”). Confidential Information may include business plans, pricing, customer lists, technical information, product roadmaps, login credentials, non-public software features, financial data, and implementation materials.
Each party agrees to use the other party’s Confidential Information only for purposes of performing under these Terms and to protect it using reasonable care. Confidential Information does not include information that is publicly available, already known without restriction, independently developed without use of the other party’s Confidential Information, or lawfully received from a third party without confidentiality obligations.
15. Intellectual Property Rights
The Services, including all software, source code, object code, architecture, database structures, workflows, business logic, automations, APIs, integrations, user interfaces, designs, dashboards, reports, templates, documentation, training materials, videos, graphics, logos, trademarks, service marks, trade names, text, images, content, and related technology are owned by FloorsPro LLC d/b/a Jobstimate or its licensors and are protected by intellectual property and other laws.
Except for the limited right to access and use the Services during an active subscription, no rights, title, or interest in or to the Services or Jobstimate intellectual property are transferred to you. The Services are licensed, not sold.
Jobstimate, FloorsPro, ShowroomQR, Jobstimator, and all associated logos, product names, service names, slogans, trade dress, and branding are trademarks, service marks, or trade names of FloorsPro LLC or its affiliates. You may not use any Jobstimate marks without our prior written consent.
16. Feedback and Suggestions
If you provide feedback, ideas, recommendations, feature requests, comments, improvements, workflows, suggestions, or other input regarding the Services (“Feedback”), you agree that Jobstimate may use, copy, modify, implement, commercialize, disclose, and otherwise exploit that Feedback without restriction, attribution, compensation, or obligation to you. Feedback does not create any ownership rights for you in the Services or any improvements to the Services.
17. Restrictions on Use
You agree that you will not, and will not allow any user or third party to:
- Use the Services in violation of any law, regulation, court order, or third-party right;
- Access or use the Services for the purpose of building, improving, benchmarking, training, or assisting a competing product or service;
- Reverse engineer, decompile, disassemble, copy, reproduce, translate, modify, or create derivative works from the Services;
- Attempt to discover source code, architecture, business logic, database structures, workflows, or underlying technology;
- Resell, sublicense, rent, lease, distribute, share, or commercially exploit the Services except as expressly authorized in writing;
- Use automated tools, bots, crawlers, scrapers, spiders, or similar methods to access, extract, copy, or monitor the Services;
- Interfere with or disrupt the Services, servers, networks, security systems, or other users;
- Upload malware, viruses, harmful code, or destructive files;
- Attempt to gain unauthorized access to any account, system, API, database, or network;
- Bypass usage limits, subscription limitations, security measures, or access controls;
- Use the Services for spam, unlawful marketing, deceptive practices, harassment, fraud, or abusive communications;
- Remove, obscure, or alter proprietary notices, legal notices, terms, or branding;
- Store or transmit unlawful, infringing, defamatory, obscene, hateful, discriminatory, violent, or otherwise objectionable content;
- Use the Services to collect, process, or store sensitive information unless you have all required rights, consents, and safeguards; or
- Use the Services in a way that could damage Jobstimate’s reputation, security, infrastructure, business, or users.
Violation of these restrictions may result in suspension or termination of your access to the Services.
18. Estimates, Measurements, Pricing, Job Costing, and Reports Disclaimer
Jobstimate may provide tools for estimates, proposals, measurements, room calculations, material quantities, waste factors, supplier pricing, product catalogs, labor pricing, job costing, profitability tracking, inventory, taxes, schedules, reports, and financial information. These tools are provided for informational and operational assistance only.
You are solely responsible for reviewing, verifying, approving, and relying on any outputs generated through the Services. Jobstimate does not guarantee the accuracy, completeness, legality, suitability, availability, profitability, or reliability of any estimate, measurement, price, product, catalog data, labor rate, material quantity, tax calculation, inventory balance, job cost, schedule, report, dashboard, customer communication, or financial information.
You agree that Jobstimate will not be responsible for losses, shortages, overages, underpricing, overpricing, missed appointments, delayed jobs, incorrect invoices, tax errors, accounting errors, lost profits, customer disputes, or other damages arising from reliance on information generated, stored, imported, exported, displayed, or processed through the Services.
19. AI Features Disclaimer
Some Services may use artificial intelligence, machine learning, natural language processing, automation, predictive tools, or third-party AI providers. AI features may assist with drafting, summarizing, categorizing, estimating, recommending, calculating, responding, extracting, or automating information.
AI-generated outputs may be inaccurate, incomplete, outdated, biased, inappropriate, or unsuitable for your specific business. You are responsible for reviewing and approving all AI-generated content before using it, sending it, publishing it, relying on it, or sharing it with customers or third parties.
Jobstimate does not provide professional advice through AI features and disclaims liability for decisions, communications, estimates, proposals, reports, recommendations, or actions based on AI-generated content.
20. Aggregated and Anonymized Data
Jobstimate may collect and use aggregated, anonymized, or de-identified information derived from use of the Services to improve platform performance, develop features, produce benchmarks, enhance automation, train or improve AI systems where permitted, monitor usage, support security, and analyze business trends. Such information will not identify you, your customers, or your individual end users.
21. Third-Party Services and Integrations
The Services may integrate with or depend on third-party websites, applications, APIs, payment processors, accounting systems, communication providers, map providers, AI providers, vendor catalogs, supplier networks, CRMs, marketing platforms, email providers, SMS providers, hosting providers, and other services not owned or controlled by Jobstimate.
Examples may include Stripe, Authorize.net, Paytrace, NMI, QuickBooks, Xero, Google, Facebook, Zapier, OpenAI, WordPress, supplier APIs, vendor catalogs, and other integrations we may support now or in the future.
Third-party services are governed by their own terms, privacy policies, fees, uptime, support, and security practices. Jobstimate is not responsible for third-party errors, outages, delays, data loss, pricing inaccuracies, discontinued APIs, feature changes, security incidents, billing issues, or acts or omissions of third-party providers.
You authorize Jobstimate to access, exchange, transmit, receive, and process information with third-party services when you enable, connect, authorize, or use such integrations.
22. API Access
Where Jobstimate provides API access, API access is licensed solely for your internal business purposes and is subject to all documentation, usage limits, rate limits, security requirements, and Additional Terms we provide.
You may not resell, sublicense, redistribute, expose, mirror, publish, reverse engineer, scrape, overload, or commercially exploit Jobstimate APIs or API data. You may not use API access to create a competing platform, public data product, unauthorized integration, or service bureau.
We may monitor API usage, enforce usage limits, suspend API access, rotate keys, revoke tokens, or require changes to integrations if we believe API use is excessive, insecure, unlawful, harmful, or inconsistent with these Terms.
23. Communications, SMS, Email, and Marketing Compliance
The Services may allow you to send emails, SMS messages, automated reminders, proposal links, invoice links, notifications, marketing messages, or other communications to your customers, leads, employees, contractors, vendors, or other recipients.
You are solely responsible for obtaining all legally required consents and authorizations before sending communications through the Services. You are solely responsible for complying with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state telemarketing laws, privacy laws, data protection laws, carrier rules, platform policies, and similar requirements.
You may not use the Services to send spam, deceptive communications, unlawful marketing, harassment, abusive content, or communications to individuals who have opted out. You are responsible for honoring opt-out requests and maintaining proof of consent where required.
Jobstimate may suspend messaging features or accounts that we believe are being used in violation of law, carrier rules, platform policies, or these Terms.
24. Payment Collection and Financial Tools
Jobstimate may provide invoicing, payment links, balances, reminders, accounting integrations, and payment tracking tools. These features are provided for convenience and business management only.
Payment processing is performed by third-party payment processors. Jobstimate does not control approval, settlement, chargebacks, reversals, declines, processor fees, fraud monitoring, account holds, or processor decisions. You are responsible for verifying all payment records, deposits, tax obligations, accounting entries, and financial reports.
25. User Content and Acceptable Content
You are responsible for all content you or your users upload, submit, store, create, send, import, or display through the Services, including text, images, documents, proposals, contracts, customer communications, product information, pricing, logos, files, templates, and data (“User Content”).
You represent and warrant that your User Content does not violate law, infringe intellectual property rights, violate privacy rights, contain unlawful material, or breach any agreement. You may not upload or transmit User Content that is fraudulent, deceptive, defamatory, obscene, hateful, discriminatory, threatening, harassing, malicious, harmful, or otherwise objectionable.
We may remove, restrict, or disable access to User Content if we believe it violates these Terms, law, third-party rights, or platform security.
26. Copyright Complaints and DMCA
If you believe that material available through the Services infringes your copyright, you may send a notice to Jobstimate’s designated copyright contact at [email protected] with the following information:
- A physical or electronic signature of the copyright owner or authorized representative;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the allegedly infringing material and information sufficient for us to locate it;
- Your name, address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, agent, or law; and
- A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate. If you believe your content was removed by mistake, you may submit a counter-notice containing the information required by applicable law.
27. Service Availability and Changes
We work to provide reliable Services, but we do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. The Services may be unavailable due to maintenance, updates, outages, security issues, third-party failures, internet disruptions, force majeure events, or other causes.
We may add, modify, suspend, discontinue, or limit any feature or portion of the Services at any time. We may also impose limits on storage, users, messages, API calls, integrations, features, or other resources.
28. Beta Features
We may offer beta, pilot, preview, experimental, or early-access features. Beta features are provided “as is,” may be changed or discontinued at any time, may contain bugs, and may not be supported to the same extent as generally available features. You use beta features at your own risk.
29. Suspension and Termination
We may suspend or terminate your access to the Services if we believe that you have violated these Terms, failed to pay fees when due, created security risks, violated law, misused the Services, infringed third-party rights, caused harm to Jobstimate or other users, or engaged in conduct that we reasonably believe is fraudulent, abusive, or harmful.
Upon termination, your right to access and use the Services will stop. Termination does not relieve you of obligations incurred before termination, including payment obligations, confidentiality obligations, indemnity obligations, intellectual property restrictions, liability limitations, dispute resolution provisions, or other provisions that by their nature should survive termination.
30. Referrals, Promotions, and Special Offers
Jobstimate may offer referral programs, promotions, discounts, trials, credits, or incentives from time to time. Such offers are subject to any additional conditions provided with the offer and may be modified, suspended, or terminated at any time. We may revoke promotional benefits if we believe the offer is being abused, manipulated, or used contrary to its intended purpose.
31. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Jobstimate disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.
Jobstimate does not warrant that the Services will meet your requirements, that outputs will be accurate or reliable, that errors will be corrected, that data will never be lost, or that the Services will be free from viruses, vulnerabilities, or harmful components.
32. Limitation of Liability
To the maximum extent permitted by law, Jobstimate and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, business interruption, loss of goodwill, loss of data, replacement costs, work stoppage, inaccurate results, customer disputes, or computer failure, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Jobstimate’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) one hundred dollars ($100), or (b) the amounts paid by you to Jobstimate for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, liability will be limited to the fullest extent permitted by applicable law.
33. Indemnification
You agree to defend, indemnify, and hold harmless Jobstimate and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, suppliers, and service providers from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use or misuse of the Services;
- Your violation of these Terms;
- Your violation of law or third-party rights;
- Your Customer Data or User Content;
- Your business operations, products, services, estimates, invoices, work orders, installations, projects, or customer relationships;
- Your communications with customers, leads, employees, contractors, vendors, or other recipients;
- Your use of third-party services or integrations;
- Your reliance on estimates, measurements, pricing, AI outputs, reports, or other platform outputs; or
- Any activity conducted through your account.
34. Assignment
You may not assign, delegate, or transfer these Terms, your account, or your rights or obligations under these Terms without Jobstimate’s prior written consent. Jobstimate may assign, delegate, or transfer these Terms or any rights or obligations without your consent in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or by operation of law.
35. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles, and by applicable federal law, including the Federal Arbitration Act where applicable.
36. Arbitration Agreement
Please read this section carefully. It requires you and Jobstimate to resolve certain disputes through binding arbitration and limits the manner in which relief may be sought.
36.1 Good-Faith Negotiation
Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute, claim, question, or disagreement arising out of or relating to these Terms or the Services. Either party may provide written notice of a dispute, and the parties will attempt to resolve the dispute informally for at least thirty (30) days.
36.2 Binding Arbitration
If the dispute is not resolved informally, it will be resolved by binding arbitration on an individual basis. The arbitration will be conducted in English by a neutral arbitrator under commercially reasonable arbitration rules selected by Jobstimate or mutually agreed by the parties, except where applicable law requires otherwise. The seat of arbitration will be Wyoming unless the parties agree otherwise or the arbitrator determines another location is required by law.
36.3 Exceptions
Either party may bring qualifying claims in small claims court. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, misuse, or violation of intellectual property rights, confidentiality obligations, data security obligations, or unauthorized access to the Services.
36.4 Jury Trial Waiver
You and Jobstimate waive any constitutional or statutory right to go to court and have a trial before a judge or jury for disputes subject to arbitration.
36.5 Class Action Waiver
All claims and disputes must be brought on an individual basis and not on a class, collective, consolidated, private attorney general, or representative basis. Claims of more than one customer or user may not be arbitrated or litigated jointly or consolidated with claims of any other customer or user.
36.6 Opt-Out
You may opt out of this Arbitration Agreement by sending written notice to FloorsPro LLC d/b/a Jobstimate, 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, United States, within thirty (30) days after first accepting these Terms. Your notice must include your name, business name if applicable, address, email associated with your account, and a clear statement that you wish to opt out of arbitration.
36.7 Survival
This Arbitration Agreement survives termination of your account and these Terms.
37. Notices
We may provide notices by email, in-app notification, posting on our website, mail, or other reasonable means. Notices to Jobstimate must be sent to [email protected] or to the physical address listed above unless we provide a different notice address.
38. Force Majeure
Jobstimate will not be liable for delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, internet outages, third-party provider failures, cyberattacks, government actions, pandemics, supply chain disruptions, or other events beyond our reasonable control.
39. Severability
If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
40. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing and signed by an authorized representative of Jobstimate.
41. Relationship of the Parties
You and Jobstimate are independent contractors. These Terms do not create any partnership, joint venture, agency, franchise, employment, fiduciary, or representative relationship between you and Jobstimate. You have no authority to bind Jobstimate or make representations on Jobstimate’s behalf.
42. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Additional Terms, order forms, proposals, invoices, statements of work, or written agreements that reference these Terms, constitute the entire agreement between you and Jobstimate regarding the Services and supersede all prior or contemporaneous agreements, communications, proposals, and understandings regarding the Services.
